Full Code & IP Ownership Transfer

All bespoke intellectual property created by ARSAJIX specifically for the Client under an executed Statement of Work ("SOW") constitutes "Work Made for Hire" (to the extent permitted under applicable law) and is transferred entirely to the Client upon milestone settlement. This encompasses: - Custom application source code (frontend, backend, microservices, Edge functions) - Custom database schemas, migrations, stored procedures, and relational models - Tailored UI/UX design tokens, vector assets, layouts, and Figma components - Custom algorithms, business logic rulesets, and workflow automation pipelines - API specifications, internal developer documentation, and testing suites.

To build world-class, cost-effective enterprise software, ARSAJIX utilizes industry-standard, commercially permissive open-source libraries (e.g., Next.js, React, TailwindCSS, TypeScript, Prisma, PostgreSQL, licensed under MIT, Apache 2.0, or BSD). - Client is granted all perpetual rights afforded under these permissive open-source licenses. - ARSAJIX warrants that it will not knowingly introduce "copyleft" licenses (such as GPLv3 or AGPLv3) into proprietary client codebases without explicit written consent from the Client. - Any pre-existing internal utilities, boilerplate configurations, or developer productivity scaffolds developed by ARSAJIX prior to the project remain ARSAJIX property, for which the Client is granted an irrevocable, perpetual, royalty-free, worldwide license to utilize, modify, and distribute as part of the software.

Ownership transfer operates under a milestone-vesting framework: - IP rights in each completed deliverable vest irrevocably in the Client upon receipt of the corresponding milestone payment as agreed in the SOW. - Upon final invoice clearance, a formal written Certificate of IP Assignment and Source Code Handover will be countersigned by ARSAJIX executive leadership upon request. - In the unlikely event of non-payment or milestone dispute, assignment of rights corresponding to unpaid milestones is paused until financial settlement or arbitral resolution.

ARSAJIX represents and warrants that: - All custom deliverables authored by ARSAJIX engineers are original works of authorship or built upon authorized, commercially permissive open-source software. - The deliverables do not knowingly infringe upon any valid patent, copyright, trade secret, or other intellectual property right of any third party. - ARSAJIX maintains signed intellectual property assignment agreements with all employees and engineering contractors ensuring clean chain of custody prior to client handover.

Upon project completion or transition: - ARSAJIX transfers root/owner access of the primary GitHub/GitLab repository to the Client's designated organization account. - ARSAJIX engineers revoke internal developer access to production repositories and cloud infrastructure keys. - Client maintains full autonomy to engage internal teams or third-party contractors for future updates without ARSAJIX dependency.
